Terms of Service

Last updated October 21, 2026

These Terms of Service ("Terms") govern access to and use of the websites, AI tools, software, products, and related services (collectively, the "Services") offered by BrandPal Inc. ("BrandPal," "we," "us," or "our").

By registering an account, confirming a subscription purchase, or accessing or using our Services, you agree to be bound by these Terms and acknowledge that you have read our Privacy Policy.

Privacy Policy: Privacy Policy

If you act on behalf of a business or organization, you represent that you are authorized to bind that organization to these Terms.

1. Description of Services

BrandPal provides AI-powered tools and services supporting e-commerce operations, marketing, content creation, business analysis, and automated workflows. Available functionality may include creator outreach, AI video generation, search visibility analysis, store operations, data analytics, and scheduled tasks. Features depend on the relevant plan, permissions, and integrations. We may update, replace, or discontinue features, subject to applicable law and contractual obligations.

2. Eligibility and Account

2.1 Age Requirement

You must be at least 18 years old or have the legal capacity required to enter into these Terms in your jurisdiction. Where use by a minor is permitted, appropriate parental or guardian authorization is required.

2.2 Account Registration

You agree to provide accurate and current account information and keep it updated. You are responsible for activity conducted through your account and must not sell, transfer, or share account access without authorization.

2.3 Account Security

You are responsible for protecting your login credentials. If you suspect unauthorized access, contact support@brandpal.ai promptly.

3. Acceptable Use Policy

You must use BrandPal lawfully and responsibly. Prohibited conduct includes:

  • Creating or distributing illegal, sexually explicit, violent, discriminatory, harassing, deceptive, or infringing content.
  • Sending spam, distributing malware, or conducting fraudulent activities.
  • Accessing or collecting information from the Services without authorization, including prohibited scraping and data extraction.
  • Reverse engineering or copying the Services in violation of applicable law or contractual restrictions.
  • Using the Services to develop or train competing AI models without permission.
  • Interfering with the security, availability, or performance of the Services.

We may remove prohibited content or restrict or terminate access where reasonably necessary to address violations.

4. User Content and License

4.1 Ownership

You retain your applicable ownership and intellectual property rights in content you provide or generate through the Services ("User Content").

4.2 License to BrandPal

To operate the Services, you grant BrandPal a non-exclusive, worldwide, royalty-free license, with necessary sublicensing rights, to host, store, transmit, display, and process User Content solely as required to provide the Services.

4.3 Responsibility for User Content

You are responsible for ensuring that your User Content is lawful and that you possess the rights and permissions required to use it. We may restrict content in response to valid legal requests, rights infringement notices, or violations of these Terms.

4.4 Third-Party Integrations and Google APIs

BrandPal supports integrations with third-party services, including Google OAuth and Gmail functionality used for creator outreach. Where you authorize a Google account connection, BrandPal may access the account information and permissions necessary to identify the connected account and send outreach emails you have prepared and approved.

For Gmail outreach, the authorization is limited to the permissions disclosed in the applicable connection flow, including gmail.send. BrandPal does not request general permission to read, modify, label, archive, or delete mailbox messages. Information obtained through Google APIs will be used and transferred in accordance with the Google API Services User Data Policy and its Limited Use requirements.

We do not use Google API user data for advertising or to train, test, or improve AI or machine learning models. You remain responsible for outreach recipients, email content, and compliance with applicable marketing communication laws, including the CAN-SPAM Act and GDPR where applicable. BrandPal may apply sending limits and restrict outreach functionality to prevent abuse.

You may disconnect your Google account through available BrandPal settings or Google account security controls. When disconnected through BrandPal, we revoke the applicable authorization and remove stored connection credentials in accordance with our integration procedures.

5. Service Output and Disclaimer

BrandPal uses AI and automated technologies to produce content, analyses, and recommendations ("AI Output"). AI Output may contain errors, omissions, or material unsuitable for your intended use. You are responsible for reviewing outputs before using them, especially for business decisions, public communications, or third-party communications. BrandPal does not guarantee the accuracy, completeness, reliability, or non-infringement of AI Output. AI Output is not a substitute for qualified professional advice. Emails prepared through BrandPal remain subject to your review and approval before sending.

6. Intellectual Property

The BrandPal platform, software, designs, trademarks, and other proprietary materials are owned by BrandPal or its licensors. You may not reproduce, distribute, or commercially exploit these materials without appropriate authorization. If you provide feedback or suggestions, BrandPal may use them to improve its products without an obligation to compensate you.

7. Subscription, Billing and Automatic Renewal

7.1 Subscription Plans and Pricing

BrandPal offers paid subscriptions with monthly and annual billing options for individual accounts and team accounts.

Subscription prices, billing cycles, included credits, and applicable usage limits are displayed during the subscription process.

Annual subscriptions may be offered at discounted rates. The final price and billing cycle will be displayed before payment confirmation.

7.2 Billing and Automatic Renewal

By selecting a paid subscription and confirming your purchase, you expressly authorize BrandPal Inc. and its authorized payment service providers to automatically charge your selected payment method on a recurring basis according to your chosen subscription plan.

Monthly subscriptions automatically renew each month, and annual subscriptions automatically renew every twelve months, unless canceled or changed in accordance with these Terms.

The applicable subscription amount, billing frequency, and renewal date will be displayed during the subscription process or made available in your account.

Your recurring payment authorization remains effective until your subscription is canceled or terminated.

7.3 Payment Processing

Payments are processed through authorized third-party payment service providers, including Stripe and its supported payment methods.

Subscription fees are denominated in U.S. dollars unless otherwise specified during checkout. Where applicable, currency conversion may be handled by the payment service provider.

If a recurring payment fails, additional payment attempts may be made. Continued payment failure may result in restrictions on paid subscription features.

7.4 Subscription Changes

Users may upgrade or downgrade their subscription plans through the available account management options.

Eligible upgrades may take effect immediately and result in a new charge or a prorated charge based on the remaining subscription period.

Downgrades generally take effect at the end of the current billing period.

Switching from monthly to annual billing may take effect immediately, while switching from annual to monthly billing takes effect at the end of the current annual subscription period.

For team accounts, changes to seat quantities and configurations may affect subscription charges. Additional seats may be charged proportionally based on the remaining subscription period, while seat reductions generally take effect at the end of the applicable billing period.

7.5 Subscription Cancellation

Individual users may cancel their paid subscriptions through their account subscription management interface.

Team administrators may cancel team subscriptions through the team subscription management interface.

For both individual and team subscriptions, cancellation takes effect at the end of the current paid billing period. The subscription will not automatically renew after cancellation becomes effective.

Paid subscription benefits remain available until the end of the current paid billing period.

7.6 Refunds

Subscription payments are generally non-refundable, except where required by applicable law.

Cancellation or downgrading of a subscription does not automatically entitle users to a refund for any unused portion of the current billing period.

Refunds or restoration of credits resulting from certain task execution failures are governed by the applicable credit usage rules and do not constitute monetary refunds.

7.7 Credits and Usage

Paid subscriptions include monthly credit allocations. For annual subscriptions, credits are allocated monthly rather than being issued for the entire year in advance.

Unused subscription credits reset according to the applicable monthly credit cycle.

Additional credit packages may be purchased separately and are subject to their applicable pricing and usage rules.

AI-powered tasks, scheduled tasks, and automated operations may consume credits. Tasks may be restricted or stopped when available credits are insufficient.

7.8 Billing Records and Support

Users may review their subscription details, billing history, and payment records through their BrandPal accounts.

For subscription or billing-related inquiries, please contact support@brandpal.ai.

8. Termination of Services

You may stop using BrandPal at any time. We may suspend or terminate access if you materially breach these Terms, where required by law or governmental authority, or if the Services are discontinued. Termination may result in loss of account access and associated content.

Following account deactivation or termination, relevant personal data obtained through Google APIs will be deleted or anonymized within thirty (30) days in accordance with the applicable data-handling commitments. Subscription cancellations and refunds are governed by Section 7 of these Terms, subject to applicable law.

9. Disclaimer of Warranties

To the fullest extent permitted by applicable law, BrandPal provides the Services and AI Output on an "AS IS" and "AS AVAILABLE" basis. We disclaim warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation, except where they cannot legally be excluded. We do not promise that the Services or AI Output will always meet your expectations or business requirements.

10. Limitation of Liability

To the maximum extent permitted by law, BrandPal and its personnel will not be responsible for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost data, or damage to business reputation, arising from:

  • Use of or inability to access the Services.
  • Reliance on AI Output.
  • Conduct of third parties.
  • Unauthorized access to or modification of data.

Nothing in these Terms excludes liability that cannot legally be excluded.

11. Indemnification

To the extent permitted by applicable law, you agree to indemnify and defend BrandPal and its affiliates against third-party claims, losses, and reasonable expenses resulting from your unlawful use of the Services, your User Content, or your breach of these Terms.

12. Dispute Resolution and Arbitration

12.1 Amicable Negotiation

If a dispute arises, the parties will first attempt to resolve it through good-faith discussions by contacting support@brandpal.ai for a period of thirty (30) days.

12.2 Arbitration

If the dispute remains unresolved, it may be subject to binding arbitration rather than court proceedings, to the extent enforceable under applicable law. For users in the United States, arbitration will follow the applicable rules of the American Arbitration Association (AAA), with the venue determined by BrandPal’s registered location. For users in China, arbitration may proceed under the China International Economic and Trade Arbitration Commission (CIETAC), in Beijing or Shanghai, as applicable.

12.3 Class Action Waiver

To the extent permitted by law, disputes must be pursued individually rather than through class or representative proceedings.

13. Amendments to Terms

BrandPal may revise these Terms periodically. Where required by law, we will provide appropriate notice of material changes. Continued use of the Services following the effective date of updated Terms constitutes acceptance to the extent permitted by applicable law. If you disagree with updated Terms, you should stop using the Services and may exercise any applicable cancellation rights.

14. Miscellaneous Provisions

Severability: If a provision is invalid or unenforceable, the remaining provisions continue in effect.

No Waiver: Failure to enforce a provision does not waive the right to enforce it later.

Entire Agreement: These Terms, together with any expressly incorporated policies or agreements, govern the contractual relationship between you and BrandPal regarding the Services.
